The founding of a limited liability company (sp. z o. o., spółka z ograniczoną odpowiedzialnością) and a joint stock company (S. A., spółka akcyjna) in Poland is conducted as follows:
1. Registration of the company contract with a notary. The minimum company capital is PLN 5000 - this is contributed by the partners in cash or in kind.
The contract of a limited liability company or a joint stock company in Poland, which we prepare, is registered with a notary. In case of a company capital of PLN 5000 for a limited liability company, the notary fees (including basic notary fee, the tax on civil law transactions, certified copies and specimen signatures) amount to approx. PLN 700,00.
2. Registration of the company with the National Court Register (KRS).
For registration with the National Court Register, required are: motions for registration with the KRS, company contract, notary certified specimen signatures of the members of the board, contract of lease. The court fees for the registration of a company with the KRS and notice in the Court Monitor amount to PLN 1000,00.
3. Registration with the Polish Central Statistical Office.
4. Registration with the tax authority: the assignment of a tax identification number (NIP) and registration for the purposes of payment of VAT (fee is PLN 170,00).
5. Registration with the Polish Social Security Institution (ZUS).
In Poland, limited liability companies and joint stock companies are obliged to keep accounting books.
